eBay-Verkaufsverbot von Forever Living Products rechtmäßig

Das Landgericht Hamburg (Urteil vom 04.11.2016 – 315 O 396/15) hatte einen Sachverhalt zu bewerten, in dem die Forever Living Products Germany GmbH (Forever Living Products), ein Unternehmen aus der MLM-Branche, vertreten durch unsere Kanzlei, seinen Vertriebspartnern den Verkauf von Waren auf der Handelsplattform eBay untersagte. Forever Living Products vertreibt deutschlandweit hochwertige Nahrungsergänzungen und Kosmetikwaren. Das Unternehmen hat in seinen Unternehmensrichtlinien u.a. geregelt, dass gegenwärtig der Vertrieb ihrer Waren durch Vertriebspartner auf der Handelsplattform eBay untersagt ist, da die Handelsplattform eBay es gegenwärtig nicht hinreichend ermöglicht, die gesamte Produktpalette in der entsprechenden Qualität abzubilden.

Ein Vertriebspartner von Forever Living Products ignorierte dieses vertragliche Verbot, so dass es nach zunächst erfolgloser Abmahnung zu einer gerichtlichen Klärung kam.

Die Hamburger Richter entschieden, dass Forever Living Products berechtigt ist, ein vertragliches Verbot der Waren auf der Handelsplattform eBay auszusprechen. Dabei urteilte das Landgericht Hamburg, dass das Plattform-Verbot zulässig sei, da es im Rahmen eines zulässigen und selektiven Vertriebssystems erfolgt und daher kein Verstoß gegen Art. 101 AEOV vorliegt.

Insbesondere stellten die Robenträger fest, dass das Vertriebssystem von Forever Living Products nicht unter das Kartellrechtsverbot falle, da Forever Living Products seine Vertriebspartner (Wiederverkäufer) anhand objektiver Gesichtspunkte nach qualitativen Kriterien auswähle und Forever Living Products nachweisen konnte, dass es jene qualitativen Anforderungen einheitlich für allein Betracht kommenden Vertriebspartner festgelegt habe und ohne Diskriminierung anwende. Da diese Festlegung zur Wahrung der Qualität und des richtigen Gebrauches der Nahrungsergänzungen und Kosmetikwaren erfolge, sei ein solches geschlossenes Vertriebsnetzwerk nicht zu beanstanden. Nach dem Kenntnisstand des Unterzeichners hat somit das Landgericht Hamburg als erstes Gericht Deutschlands entschieden, dass auch MLM-Unternehmen berechtigt sein können, ihren Vertriebspartnern den Vertrieb deren Waren auf sog. Internet-Plattformen wie eBay oder aber auch Amazon zu verbieten.

Der Vollständigkeit halber ist darauf hinzuweisen, dass der beklagte Vertriebspartner gegen das Urteil Berufung eingelegt hat und daher das Hanseatische Oberlandesgericht Hamburg sich gegenwärtig mit dem Sachverhalt befasst.

The eBay sales ban on Forever Living products is lawful

The Landgericht Hamburg [Hamburg Regional Court] (decision dated 04 November 2016 – 315 O 396/15) had to evaluate an issue where the company Forever Living Products Germany GmbH, a corporation operating in the MLM industry and represented by our Law Firm prohibits its sales partners from distributing goods on the eBay trading platform. Forever Living Products distributes high quality food supplements and cosmetics throughout Germany. In its Company Guidelines, the corporation addressed, inter alia, that the sale of its products by distribution partners on the eBay trading platform shall be prohibited at the moment, as the eBay trading platform does not provide sufficient conditions to show the whole product range in the respective quality.

A distribution partner of Forever Living Products ignored this contractual ban, a fact that lead to judicial clarification after an initially unsuccessful warning.

The Hamburg judges decided that Forever Living Products is entitled to issue a contractual prohibition concerning products on the eBay trading platform. The court considered that the platform ban is admissible as it takes place within the framework of a permissible and selective distribution system. Therefore, there is no violation of Article 101 TFEU.

In particular, by the court was noted, that the Forever Living Products’ distribution system is not subject to prohibition in the meaning of competition law, as Forever Living Products chooses its sales partners (resellers) based on objective criteria following qualitative aspects. So, Forever Living Products could prove the determination of these qualitative requirements for all the relevant distribution partners in a uniform manner and a non-discriminatory application. As this determination takes place for securing quality und the proper use of the food supplements and cosmetics, such a closed distribution network cannot be challenged. According to the signatory’s information, the Hamburg Regional Court is the first court in Germany taking the decision that MLM companies can also be entitled to prohibit its sales partners from distributing its goods on so-called internet platforms like eBay or even Amazon.

For the sake of completeness, it should be noted that the defendant (sales partner) appealed against the judgement. As a consequence, the Hanseatic Higher Regional Court Hamburg is now dealing with the matter.
